IPOs and Private Placements

Few law firms have represented more financial institutions in initial public offerings than Bracewell. We handle all phases of an IPO offering, including preparation of the prospectus or offering memorandum, structuring of terms of securities, and obtaining clearance from the SEC and other regulatory bodies. We also represent underwriters and placement agents in such financings, assisting with disclosure documents and due diligence preparations.
After IPO completion, we assist clients with a variety of follow-on offerings such as:
