Thomas W. Adkins represents companies and other parties involved in business transactions, including acquisitions and dispositions of publicly and privately held businesses, and public and private securities offerings. He has assisted numerous public companies and boards of directors on Sarbanes-Oxley and other corporate governance issues, as well as state and federal securities laws and regulatory compliance.

Specifically, Mr. Adkins assists companies and investors with business planning, capital structures, stockholder agreements, employment and non-competition agreements, licensing arrangements, stock option and compensation arrangements, seed financings, venture capital financings and other private placements, initial public offerings, follow-on public equity and debt offerings, privatization, and other corporate and commercial business transactions. In the course of 20 years of practice, he has represented the buyer or the seller in the acquisition of more than 150 privately held companies and several publicly held companies, for purchase prices ranging from less than $100,000 to more than $1 billion.
