Tom Tomlinson counsels and assists energy-sector sponsors, investors and lenders in complex financial transactions such as project finance and development, structured financings and securitization, mergers, acquisitions and divestitures, and the sale and acquisition of distressed assets. He advises energy trading and marketing organizations regarding the negotiation and preparation of all major industry financial and commodity hedging and trading instruments, including master netting agreements.
Mr. Tomlinson documents and negotiates single and multi-project structured finance transactions, the formation of joint ventures and partnerships for business combinations and financial investment vehicles, securitization and monetization of various contractual and non-contractual assets, leveraged lease and sale/leaseback transactions, corporate and non-recourse project lending, and public offerings. He regularly leads client representation in project finance and the development, acquisition and divestment of assets and equity in single projects and multi-project groups, as well as other business assets, and the development of electric power and natural gas projects.
Representative Matters
Represented El Paso Corporation and Ruby Pipeline LLC regarding the $1.58 billion construction and term financing of the 675-mile Ruby Pipeline in the northwest United States. The financing was named "Oil & Gas Deal of the Year" for 2010 by Project Finance International.
Represented La Paloma Generating Company, LLC and its owners in the $412 million first-lien and second-lien term and working capital project finance facilities regarding its 1,022 MW combined-cycle electric generation facility.
Representation of Plum Point Energy Associates LLC in the restructuring of the $819MM secured construction and term financing for its 665 MW coal-fired power generation facility located in Osceola, Arkansas.
Represented project company and sponsors in the development and financing of an on-purpose propane to propylene plant on the Houston Ship Channel.
Represented Elba Express Company LLC, a natural gas pipeline transporting regassified LNG, and its sponsor regarding the construction and term financing of a significant lateral connection to the Transco pipeline system.
Represented lenders regarding the project financing of a gas storage project development.
Represented a major regional utility in the formation of a joint venture combining a large interstate pipeline system with gas and power trading and marketing operations.
Representation of a Fortune 500 company in the construction and lease financing of a series of power generation facilities.
Represented an independent power producer in the development and financing of several merchant power generation facilities. The project received the Deal of the Year award from Project Finance magazine for its innovative financing.
Represented various companies, including an oil major, in the negotiation of agreements for the construction, operation, and financing of oil extraction and storage vessels.
