Stephanie Song counsels and represents domestic and foreign financial institutions, other lenders and borrowers in all types of secured and unsecured credit transactions, including asset based lending, senior and subordinated debt financings, cross-border financings, debt restructurings, project and acquisition financings, letter of credit facilities, term loans, working capital loans, bond credit enhancement facilities, securitization and conduit lending transactions, oil and gas secured financings, as well as loan restructures and workouts and other various interbank relationships involved in syndicated loan transactions. The majority of Ms. Song's practice consists of the representation of large commercial banks in connection with syndicated credit facilities to borrowers in a wide variety of industries with a particular emphasis on leveraged buyouts, secured asset-based loans, the financing of oil and gas and oilfield services acquisitions.

Represented the sole arranger, sole book runner and administrative agent in a $2.5 billion senior, secured oil and gas borrowing base facility for large, publicly held, oil and gas exploration and production company (2010).
Represented the co-lead arranger, joint book runner and administrative agent in a $450 million, senior secured revolving credit facility for large, privately held oilfield services company (2010).
Represented a co-lead arranger and administrative agent in a $500 million, secured oil and gas borrowing base facility for a privately held, oil and gas exploration and production company (2010).
Represented a co-lead arranger and administrative agent in a $150 million, senior secured borrowing base, revolving credit and term loan facilities for a privately held, oilfield service company (2010).
Represented a leading propane distribution and sale company that is a master limited partnership in a $400 million, senior secured revolving credit facility (2009).
Represented the sole arranger, sole book runner and administrative agent in a $75 million second lien, secured term facility for a privately held, oil and gas exploration and production company (2009).
Represented the sole lead arranger, sole book runner and administrative agent in a $360 million, secured oil and gas borrowing base facility for a privately held, oil and gas exploration and production company (2009).
Represented the co-lead arranger, joint book runner and administrative agent in a $2.0 billion, senior unsecured 5-year credit facility and a $1.0 billion, senior unsecured 364-day credit facility for a large, investment grade, publicly held oilfield services company (2008).
Represented the sole arranger, book runner and administrative agent in the first lien, senior secured, oil and gas borrowing base facility for Milagro Exploration, LLC with initial commitments of $315 million (2007). Selected as the Oil and Gas Investor magazine's 2007 Excellence Award for Financing of the Year.
