Stan Jensen represents clients on a variety of financial and physical trading and hedging transactions with a focus in gas, power, oil and other commodities. Typical transactions include serving as lead counsel for asset backed secured trading facilities, master purchase and sale agreements, trading and commodity credit sleeves, and commodity-backed financing and hedging transactions. He also represents energy and investment bank clients in the purchase and sale of trading portfolios and commodities futures and swaps. Mr. Jensen commonly works with master trading agreements including ISDA, EEI, NAESB, and other commonly used energy commodity documents.

Mr. Jensen advises and represents buyers and sellers in conveyances of corporations and asset purchases or sales involving oilfield services businesses, power plants, drilling businesses, chemical facilities, air separation units, oil and gas interests, and energy industry assets.

Mr. Jensen represents clients on projects involving construction, acquisition and financing of gas fired power plants, nuclear power plants, cogeneration facilities, pipelines, refineries, and manufacturing facilities. Mr. Jensen works on transactions relating to the energy sectors in the United States, Canada, Mexico and Latin America.

Mr. Jensen represents international banks and other lending institutions as well as corporate borrowers in loan and finance transactions supported by various types of collateral, including oil and gas properties and interests, various energy generation and distribution assets and manufacturing assets.

Representative Matters

Represents Bank of America Merrill Lynch in negotiating various structured secured loan and commodity trading and hedging facilities with a number of large energy companies including negotiating related security, trading and hedging documents. Facilities negotiated in the last year or two include a new $800,000,000 facility, and participation in existing syndicated facilities with values in excess of 1 billion dollars and 20 billion dollars respectively.

Represents large oil and gas company in negotiation of oil refinery supply agreements, and refined products off-take agreements for multiple refineries.

Represents drilling companies and oilfield services companies in acquisitions of other companies, business units and assets and in negotiating key supply, sales and lease contracts.

Represented power and gas companies in negotiating long term gas and power supply contracts and related collateral arrangements.

Represented Westinghouse in negotiating new multi-unit nuclear power plant engineering, procurement and construction contracts for building power plants and related facilities in the United States.

Represented JP Morgan in structuring long term gas storage and transportation contracts for existing storage facilities and for storage and transportation facilities that are being developed.

U.S. Counsel for lead bank on $750,000,000 and $410,000,000 syndicated oil and gas loans secured by U.S. and Canadian assets.

Represented owner and operator of power plant in a $260,000,000 power plant cogeneration monetization project.

Assisted multiple fortune 500 companies to develop or revise and update their standard gas and power master purchase and sale agreements and/or ISDA agreements.

Negotiated long term power purchase and sale agreements and related collateral requirements with respect to $300,000,000 (plus) facility.

Represented purchaser in acquisition of oil and gas drilling rigs and related equipment for use in South America.

Negotiated five year 40,000,000 MMBtu fixed price gas hedge option and related collateral documentation.

Negotiated $350,000,000 joint venture power and gas trading agreements and related credit sleeve arrangements.

Negotiated procurement and construction contracts for a 100 mile U.S./Mexico cross border gas pipeline.

Negotiated engineering procurement and construction contracts for a 260 MW power plant and related facilities built in Monterrey, Mexico.

Negotiated joint venture to build and operate a $100,000,000 (plus) industrial gas production facility and a related loan facility from international banks for $95,000,000.
