Shanna Kuzdzal's practice focuses on corporate, securities and regulatory representation of state and national banks, thrifts, holding companies and other financial institutions. Shanna regularly advises clients on matters related to the acquisition or sale of financial institutions and the acquisition, sale, relocation and establishment of branch offices. She also advises on the numerous aspects involved with obtaining new financial institution charters, including representation in connection with the regulatory application process and raising initial capital.

Shanna's corporate and securities practice involves the representation of issuers and underwriters in public and private offerings of equity and debt securities, as well as SEC reporting and compliance matters. This includes annual, quarterly and periodic reports, proxy materials and Section 16 reporting obligations.

Shanna also assists clients with such strategic opportunities as holding company formations, charter conversions and tender offers. In addition, she advises financial institutions on regulatory compliance, including aspects of regulatory matters involving the Federal Deposit Insurance Corporation, Federal Reserve Board, Texas Department of Banking, Office of the Comptroller of the Currency, and other regulatory agencies.

Represented Prosperity Bancshares, Inc., the $10.9 billion holding company of Prosperity Bank, in multiple mergers and acquisitions  including American State Financial Corporation, The Bank Arlington, East Texas Financial Services, Inc., Texas Bankers, Inc., 1st Choice Bancorp, Inc., The Bank of Navasota, N.A. and Texas United Bancshares, Inc. and the purchase and assumption of branches from U.S. Bank National Association and First Bank.

Represented West Texas State Bank in its purchase and assumption of a branch of Guaranty Bond Bank.

Represented VB Texas, Inc. and Vista Bank Texas in their acquisition of Founders Bank, SSB through an all stock transaction.
