Scott Grossman's practice focuses on the representation of companies in a variety of industries and private investment firms in general corporate, transactional and securities law matters. Representative Matters

Represented publicly traded pipeline company in the formation of a $1.7 Billion joint venture to operate a natural gas gathering system in the Haynesville Shale. 

Represented the terminals group of a publicly traded pipeline company in the acquisition of preferred stock of a privately held owner and operator of short line railroads.

Represented private group of investors in the acquisition of a federal savings bank in Fort Bend County, Texas and the related private placement of common stock to raise acquisition funds. 

Represented publicly traded building supply company in the acquisition of a paint coating facility in Middletown, Ohio.

Represented publicly traded pipeline company in the buyout of partner's 50% interest in a joint venture to operate a natural gas gathering system in the Haynesville Shale. Represented same client in the acquisition of a 25% interest in a joint venture to operate a gas and condensate gathering system in the Eagle Ford Shale. Total combined transaction value of $920 million.

Represented the owners of an oil services trucking company in a $225 million sale to a private equity firm.

Represented a publicly traded medical products and equipment company in the formation of a strategic joint venture.

Represented a health insurance billing company in the sale of subordinated notes to a private equity firm.

Represented a publicly traded medical products and equipment company in the purchase of subordinated convertible notes.

Represented a start-up technology company in the private placement of common and preferred stock to individual and institutional investors.

Represented individual investors in the acquisition of a privately held provider of home health care services.

Advised several companies across multiple industries in their investigation of potential acquisitions, dispositions and financings.
