Robb Tretter advises private investment firms, corporations and financial institutions on mergers and acquisitions, private equity investments, financing arrangements, securities law compliance, corporate governance and general corporate matters in private and public takeovers, investments, restructurings and reorganizations in the U.S. and abroad. Mr. Tretter's practice generally focuses on distressed or special situations.

Mr. Tretter regularly represents clients in asset and stock purchases and sales, often as part of leveraged buyouts, restructurings or recapitalizations. Mr. Tretter’s merger and acquisition experience encompasses hostile takeovers and tender offers involving major multinational corporations. He also counsels senior management and directors regarding takeover preparedness and corporate governance issues. His corporate clients come from diverse industries, including airlines, technology, health care, manufacturing, leisure, chemicals, and financial services.

Mr. Tretter joined Bracewell & Giuliani LLP from the New York corporate practice of Linklaters. He began his career at Wachtell, Lipton, Rosen & Katz, and has also served as general counsel of a publicly traded company.

Representative Matters

Private equity raise by Decision Sciences Corp., a developer of detection and security solutions, in 2010.  Served as transaction counsel to Decision Sciences.

Chapter 11 restructuring of Crescent Resources LLC, a land developer, by MatlinPatterson and other significant holders of first lien debt in 2010.  Served as transaction counsel to MatlinPatterson.

Chapter 11 restructuring of J.L. French Automotive Castings, Inc., a manufacturer of automotive parts, in 2009.  Served as transaction counsel to holders of second lien debt.

Acquisition of substantially all of the assets of Foamex International, Inc., a leading manufacturer of foam products, through a credit bid pursuant to a sale under §363 of the Bankruptcy Code in 2009.  Served as transaction counsel to MatlinPatterson.

$535 million equity investment into Standard Pacific Corp., a leading home builder, by MatlinPatterson in 2008.  Served as transaction counsel to MatlinPatterson.

Acquisition of Arrow Cargo, a cargo airline serving Latin America, by MatlinPatterson in 2008.  Served as transaction counsel to MatlinPatterson.

Private equity raise by Alpha Shares LLC, a developer of exchange traded funds and related algorithms, in 2008.  Served as transaction counsel to Alpha Shares.

Acquisition of World Air Holdings, Inc., a passenger and cargo airline, by Global Aero Logistics Inc. a passenger and cargo airline in 2007.  Served as transaction counsel to MatlinPatterson, who was the equity sponsor of the transaction.

Private equity investment in Impeva Labs, Inc., a developer of container tracking and security solutions, by Agility Logistics, a leading global logistics firm based in Kuwait, in 2006.  Served as transaction counsel to Agility Logistics.

Acquisition of Taos Industries Inc., an arms repair and procurement company, by Agility Logistics, a leading global logistics firm based in Kuwait, in 2006. Served as transaction counsel to Agility Logistics.

Global restructuring, potential IPO spin-off and subsequent sale of Innovene Group by BP in 2006. Served as U.S. transaction counsel for BP.

Investment and shareholder activism by Morgan Stanley Investment Management in New York Times Company in 2006. Served as transaction and regulatory counsel for Morgan Stanley. 

U.S./U.K. exchange offer and offer to purchase US$500million in bonds of Royal and Sun Alliance by Merrill Lynch in 2006. Served as U.S. transaction counsel for Merrill Lynch.

Hostile tender offer by Sonaecom for Portugal Telecom in 2006. Served as U.S. transaction counsel for Soneacom.

Acquisition by ADVA Optical Networking AG, a German developer of optical networking equipment, of Covaro Networks Inc., a U.S. developer of optical networking equipment in 2006. Served as transaction counsel to ADVA.

Hostile tender offer by Gas Natural for Endesa in 2005. Served as U.S. transaction counsel to Gas Natural.

Acquisition of NIB Capital NV by a consortium led by JC Flowers and including DLJ Merchant Banking Partners and CSFB SP III Investments in 2005. Acted as club counsel for CSFB and DLJ.

Chapter 11 restructuring of Loral Satellite Communications by MHR Fund Management in 2005. Acted as transaction counsel for MHR.

Restructuring and debt-for-equity exchange of Henlys Group Plc (a/k/a Blue Bird Bus Company) in 2004. Served as transaction counsel for Henlys.
