Richard (Dick) Rice represents and counsels United States and international oil and gas companies in all phases of their domestic and global business operations and transactions, including acquisitions, dispositions, joint ventures, marketing alliances and financings. He regularly works with energy producers, project sponsors, equity investors and credit providers. Mr. Rice is retained to prepare and negotiate oil and gas purchase and sale agreements on businesses and producing properties with values ranging from millions to billions of dollars; transportation contracts; governmental concessions and leases; participation agreements; seismic shoot and license agreements; engineering, procurement and construction contracts; and operating agreements.
Mr. Rice represents a number of clients in the midstream sector with experience relating to the construction and operation of petrochemical facilities, intra- and interstate pipelines, gathering agreements, storage facilities and related assets. He has broad experience with respect to the negotiation of processing and fractionation agreements, and exchange, transportation and storage agreements.
Mr. Rice also represents financial institutions and energy companies in equity and debt financings, including borrowing-based facilities for oil and gas and pipeline companies, debt and equity private placements, structured financings, monetizations of oil and gas contracts, volumetric production payments, and project development financing.
Mr. Rice has represented clients throughout the United States, South America, Western Europe, West Africa, Central Asia and Turkey, and is a licensed solicitor in England and Wales.
