Dan Witschey has represented companies, their boards of directors and committees for more than 35 years in securities matters, merger and acquisition transactions and corporate governance.
Mr. Witschey advises business clients in public offerings and private placements of debt, equity, and convertible, exchangeable and preferred securities, in initial public offerings, shelf and secondary offerings, and Rule 144A transactions. He represents companies in mergers, acquisitions and divestitures, and has advised corporations, master limited partnerships, other entities and their boards of directors and special committees with respect to governance matters, fiduciary duties, sales of the company and going private and other related party transactions. Mr. Witschey also advises clients on disclosure and reporting obligations, and compliance with federal securities laws and stock exchange requirements.
