Nancy Wodka has more than 25 years of experience in the development and financing of energy and infrastructure projects. She has represented United States and foreign companies in the development of electric power plants (fossil fueled, nuclear and renewable), liquefied natural gas terminals, pipelines, sports stadiums and industrial facilities in the U.S. and abroad. Ms. Wodka also has substantial experience in asset acquisitions and divestitures, joint venture formation and project financing.

Ms. Wodka has a particular focus on the issues that face project developers and service providers, including construction contracts, fuel procurement, power sales and other offtake contracts, transmission arrangements, site acquisition agreements and operation and maintenance contracts, and long-term service agreements. Her practice covers early stage development of projects to financing and operational issues. Ms. Wodka has recently been engaged in projects as diverse as the sale of undivided interests in a gas-fired power plant and the construction of new nuclear plants.

Ms. Wodka is experienced in complex loan arrangements, particularly with multilateral banks and export credit agencies, and in structuring projects to address political risks. She has worked on multinational projects based in the Pacific Rim, South and Central America, and the Middle East.

Representative Matters

Lead counsel to Westinghouse Electric Company LLC in negotiation of engineering, procurement and construction contracts and consortium arrangements for new nuclear power plants in the U.S. and foreign markets, including Brazil, Canada, Eastern Europe, India and the United Kingdom.

Representation of owner of natural gas storage facility in $150 million term and revolving loan facilities.

Lead outside counsel for Calpine Corporation in the sale of a 25% undivided interest in the1,038 MW combined cycle Freestone Energy Center to Rayburn Country Electric Cooperative, Inc. and the related joint ownership agreement and long term service and management contracts between the owners and Calpine affiliates.

Representation of Chase Power Development, LLC in the development of the Las Brisas Energy Center pet-coke fired facility in Texas.

Lead counsel to Sithe Global Power LLC in development of 1,500 MW mine mouth coal plant on Navajo Nation land and 750 MW coal-fired power plant in Nevada.

Representation of BTEC Turbines LP in service contracts for the reconstruction of the electric sector in Iraq.

Counsel to developer of LNG receiving terminal in Bahamas and 90-mile undersea pipeline to Florida.

Counsel to Calpine Corporation in its sale of a 50% interest in the Lost Pines power project and acquisition of the Brazos Valley power project.

Counsel to Rockland Capital in its formation of a joint venture with Lightyear Capital and acquisition of two cogeneration facilities in California from Tractebel Power.

Counsel to InterGen North America in development of merchant power plant in Mississippi.

Representation of Calpine Corporation in development of cogeneration and merchant power plants in Texas, Alabama and Louisiana.

Representation of developer of wind project in Costa Rica with respect to vendor and construction contract issues.

Finance counsel to Trakya Elektrik Uretim ve Ticaret A.S. in the financing of its 478 MW power plant in Turkey with loans from Export-Import Bank of the United States, Overseas Private Investment Corporation and commercial banks; continuing representation with respect to operating phase project and loan issues.

Representation of European power generation company in negotiations for acquisition of coal-fired power plant in U.S.

Representation of U.S. company on bids to acquire electric generation and distribution company assets in privatizations in Colombia, El Salvador, Guatemala, Korea and Nicaragua.

Representation of several U.S. independent power plant developers in negotiation of turbine purchase contracts and long term service agreements.
