Mark Holmes focuses his practice on commercial lending and financial transactions in a wide variety of industries with emphasis on the energy sector. He represents domestic and foreign financial institutions and borrowers in connection with the structuring, negotiation, and documentation of a wide array of senior, subordinated, secured, second lien, and unsecured lending transactions, including oil and gas secured financings, asset-based loans, acquisition and working capital facilities, project financings, cross-border financings, securitization and conduit lending transactions, letter of credit facilities, debt and loan restructurings and workouts.
Mr. Holmes’ practice also encompasses representing and advising financial institutions and corporate clients in connection with physical and financial commodity hedging instruments and commercial contracts.

Energy Finance – Arranger/Lender Representation
Represented Citigroup in a $1.45 billion unsecured, multi-borrower revolving credit facility and a $450 million 364-day commercial paper backstop facility for Ensco plc.
Represented Société Générale in a $200 million first-lien revolving credit facility and a $17.5 million second-lien term loan facility to a privately held exploration and production company.
Represented Bank of America, N.A. in a $225 million senior secured revolving credit facility to Basic Energy, Services, Inc.
Represented Société Générale in a $150 million first-lien revolving credit facility and a $10 million second-lien term loan facility to a privately held exploration and production company.
Represented Bank of America, N.A. in a $200 million senior secured revolving credit facility to C&J Energy Services, Inc.
Represented Société Générale in a $500 million senior secured reserve-based revolving credit facility to a privately- held exploration and production company with oil and gas assets in Texas.
Represented Nordkap Bank, as lead arranger, and a group of international financial institutions in a secured US$ 42.5 million multi-currency oil and gas reserved based financing in Belize.
Represented BNP Paribas as lead arranger in a $1.85 billion senior secured revolving credit and term loan B facilities to CITGO Petroleum Corporation.
Energy Finance – Borrower Representation
Represented a holdco in connection with a $62.5 million member loan provided in connection the holdco’s project-level financing of a 1,022 MW gas-fired power plant.
Represented Plains Exploration & Production Company in a secured $300 million revolving credit facility provided by various financial institutions to its subsidiary, Plains Offshore Operations, Inc.
Represented owner of a natural gas storage facility and its equity investor in $150 million term and revolving loan facilities.
Represented privately-held exploration and production company in its $500 million senior secured revolving reserve-based credit.
Represented Plains Exploration & Production Company in a $1.6 billion senior secured revolving reserve-based credit facility.
General Finance
Represented Sysco Corporation in connection with its unsecured investment grade $1 billion revolving credit facility.
Represented Société Générale as lead arranger in a $172.5 million and $77.5 million project financing of digital movie projectors.
Represented a privately-held distributor of chemical and automotive products in connection with its $50 million private placement debt offering and Class B equity issuance.
Represented Old World Industries, Inc. in its secured $200 million revolver and $100 million term loan.
Represented Ferrellgas Partners L.P. in its $200 million, $300 million, $285 million and $500 million high yield offerings and $400 million secured revolving credit facility.
Represented Ferrellgas L.P. in its $160 million accounts receivable securitization from Wells Fargo Bank, N.A.
Represented Bank of America, N.A. in its $120 million revolving credit facility to Susser Holdings, LLC and Susser Holdings Corporation.
Financial Restructuring/Bankruptcy/Workout
Represented lender in connection with workout and divestiture of its existing credit facility with an exploration and production company.
Represented administrative agent in workout of $390 million first and second lien credit facility to oilfield services provider.
Represented noteholder group in connection with workout and securitization of senior unsecured notes totaling $129,000,000.
Represented leading producer of foam-based solutions and specialty products in connection with its $100 million exit financing.
Represented lead arranger and agent in $90 million debtor-in-possession financing for leading producer of foam-based solutions and specialty products.
