Mr. Deeby is a member of the firm's Business and Regulatory Group. His practice focuses on corporate mergers and acquisitions, private equity, and company and commercial work. He has experience advising clients on a range of Middle East and international merger and acquisition transactions, joint ventures, commercial trading agreements, and general international and Middle Eastern corporate advisory issues.
In addition, Mr. Deeby has experience advising on various capital markets transactions, as well as drafting and advising on prospectuses and other offering documents, underwriting agreements, and management agreements.
Mr. Deeby has also acted, on a secondment basis, as counsel for the Middle East for the Carrier Corporation where he advised on various complex commercial contracts, distribution agreements, as well as various labour and dispute resolution matters.
After having qualified, he completed an internship with the United Nations Commission on International Trade Law in Vienna, Austria. He is fluent in five languages, including Arabic, French, Spanish, and Italian.
Prior to joining Bracewell, Mr. Deeby practiced in the corporate and securities groups at Norton Rose LLP in Dubai and Blake, Cassels & Graydon in Toronto.
Representative Matters
Represented an international motor manufacturer on a number of arrangements including financing and securities arrangements, employment law and local law compliance issues.
Represented clients across a number of sectors in respect of general “doing business” advice including labour law issues, company incorporations and general corporate structuring advice.
Represented the issuer on an offer of 190,000 units of a Bahrain Collective Investment Undertaking for a subscription price of $1,000.00 per unit.
Represented a DIFC real estate investment company on a private placement of shares in the company.
Represented an international food company on the establishment of a Saudi Arabian food production and distribution joint venture.
Represented a software company on the purchase by IBM of all of the issued and outstanding common shares.
Represented a health care products manufacturer on the sale of its soap manufacturing plant for a purchase price of approximately $3.4 million.
Represented an American printing company on its purchase of common shares of a Canadian printing company for approximately $3 million.
Represented a bottle manufacturer in connection with its purchase of substantially all of the assets of a competing bottle manufacturer for a purchase price of approximately $4.6 million.
Represented a Chinese lumber company on the issuance of units consisting of common shares and purchase warrants by way of private placement raising aggregate gross proceeds of $4.5 million in Canada.
Represented the underwriters on the new issuance of $100 million unsecured debentures of a Canadian international food manufacturing company in Canada.
