Kate Day represents lenders, borrowers, and sponsors in all types of secured and unsecured credit transactions, including senior and subordinated debt financings, acquisition and project financings, term loans and working capital loans, cross-border financings, bond credit enhancement facilities and financial asset securitizations, and in connection with the various interbank relationships involved in syndicated loan transactions, as well as loan restructurings and workouts. She has experience in leveraged buyouts, secured asset-based loans, oil and gas reserve-based financing, and complex or non-traditional forms of financing, including off-balance sheet transactions and synthetic letter of credit facilities.
Kate's clients include domestic and foreign banks, commercial finance companies, private equity funds, public companies, and privately held companies.
Arranger / Lender Representation
Represented Bank of America in a $700 million secured, reserve-based revolving credit facility to Stone Energy Corporation.
Represented Citigroup in a $1.45 billion unsecured, multi-borrower revolving credit facility and a $450 million 364-day commercial paper backstop facility for Ensco plc.
Represented Citigroup in a $250 million committed letter of credit facility to Cameron International.
Represented Société Générale in a $300 million secured, reserve-based revolver and $10 million secured term loan for Abraxas Petroleum Corporation.
Represented Société Générale in a $200 million first-lien revolving credit facility and a $50 million second-lien term loan facility to a privately held exploration and production company.
Represented Union Bank of California in a $200 million secured revolving credit facility and a $30 million subordinated second-lien term loan facility to Crusader Energy Group.
Represented Bank of America in a $200 million secured, reserve-based revolving credit facility to a privately held exploration and production company.
Represented Macquarie Bank in multiple secured borrowing base financings to privately held commodities trading companies.
Represented private equity funds in a secured $50 million second-lien credit support facility to a US aluminum producer and a secured $10 million term loan facility to an Australian telecommunications company.
Represented a regional bank in a $23 million hotel financing.
Borrower Representation
Represented Texas Petrochemicals, L.P. in its secured $175 million revolver and its issuance of $350 million of senior secured notes.
Represented Comfort Systems USA, Inc. in its $125 million secured revolving credit facility and its surety bonding facility in an amount up to $550 million.
Represented an NBA franchise in a working capital revolver and a private placement of term notes totaling $125 million.
Represented Frac Tech Services in a $100 million secured revolving ABL credit facility.
Represented Reliant Energy, Inc. in its $500 million revolver and $250 million synthetic letter of credit facility.
Represented El Paso Exploration and Production Company in its $1 billion oil and gas revolving credit facility.
Represented a state employee retirement fund in its $40 million secured working capital subscription line.
Structured Deals
Represented Citigroup in a $2.2 billion minority interest financing for Anadarko Petroleum Corporation.
Represented Reliant Energy, Inc. in the development and execution with Merrill Lynch of its credit-enhanced structure for supply and hedging of retail power business, including structuring of ring-fence and credit sleeve transaction (Energy Risk magazine's 2008 deal of the year).
Represented Reliant Energy, Inc. in its $450 million accounts receivables securitization from JP Morgan Chase.
