Joseph Tirone is a member of Bracewell & Giuliani's energy practice. His work focuses on energy project and infrastructure development, mergers and acquisitions, and project finance. Mr. Tirone has worked on energy, infrastructure and finance transactions in the United States and globally.
He has experience in the structuring, negotiating and drafting of complex power purchase agreements, tolling agreements, joint development agreements, energy procurement contracts, engineering, procurement and construction contracts, operation and maintenance agreements, equipment purchase agreements, long-term service agreements, fuel supply and transportation agreements, purchase and sale agreements, hedging arrangements, financing agreements and security documentation. Mr. Tirone also advises retail electricity and natural gas suppliers in nearly all aspects of their respective businesses.
Representative Matters
Leader of a team that represented the seller in the auction and sale of 10 district energy heating and cooling companies in six states, representing 238 MW of combined electricity generating 10 million pounds of steam and 72,800 tons of chilled water, with a purchase price in excess of $400 million.
Represented developers and operators of renewable, hydroelectric, natural gas and coal-fired generation and cogeneration facilities throughout the United States and globally with respect to all aspects of project development, fuel supply and transportation, transmission, power and thermal energy sales and tolling, construction, operation, maintenance and project finance.
Represented strategic purchasers and private equity funds in auctions in connection with the acquisition and disposition of renewable, natural gas and coal fired generation facilities located throughout the United States.
Provides regular counsel and advice to competitive electric and gas suppliers on retail supply regulations in all competitive supply jurisdictions in the United States.
Represented an international natural gas company with respect to its development of a bio-fuel production facility in Europe and its related joint-venture with a British oil and gas company.
Represented various stakeholders in multiple infrastructure projects located in the United States, Africa, Europe, Asia, South America and the Middle East with respect to development, project contracts, construction, operation, maintenance, financing, and acquisition and disposition.
