Jon Gill represents private investment firms that seek control positions through debt and equity investments in public and private companies, principally in distressed and special situations. He provides clients with corporate, securities and bankruptcy law advice on all aspects of their transactions, from pre-commitment to execution and exit. His work in this area also relates to representation of creditor and debtor groups in in-court and out-of-court reorganizations, plan fundings, and rescue and debtor-in-possession financings. He regularly advises clients in domestic and foreign mergers and acquisitions.

Mr. Gill advises public and private clients on corporate securities matters, debt and equity tender offers, confidentiality concerns, rights offerings, and shareholder and inter-creditor agreements.

Before joining Bracewell & Giuliani, Mr. Gill began his career at Sullivan & Cromwell LLP.

Representative Matters

Boston Generating LLC - represented MatlinPatterson in connection with its $1.35bn bid to acquire the operating assets of Boston Generating LLC, the bankrupt operator of 3000MW of generating capacity in the Boston area.
 
Transmeridian Exploration Inc.(TMY) - represented the majority holders of TMY (the operator of certain oil and gas concessions in Kazakhstan) $290m Senior Secured Notes due 2010 in connection with various restructuring efforts and the eventual sale of TMY's operating assets to UFEX pursuant to a plan of reorganization.
 
Spectrum Brands, Inc - represented a significant holder of Spectrum Brand's pre-petition indebtedness in connection with Spectrum's chapter 11 cases and corporate and securities issues in connection with and following Spectrum's emergence from Chapter 11.
 
Tronox, Inc - represented MatlinPatterson as potential stalking horse bidder for the assets of Tronox, Inc (one of the world's leading producers of titanium dioxide).
 
Liberty Travel, Inc - represented Flight Centre Limited (a multi-national retail and corporate travel agency operator) in its purchase of the Liberty Travel Group of companies for approximately $135m.
 
Consolidated Restaurants Inc - represented Highland Capital affiliated funds in a recapitalization of Consolidated Restaurants, operator of several leading south-east restaurant concepts.
 
Ormet Aluminum - represented MatlinPatterson as prepetition lender, DIP provider and plan sponsor of the chapter 11 cases of Ormet Aluminum, Inc, a vertically integrated aluminum producer.
 
DuCool, Ltd - represented MatlinPatterson in its acquisition of a 50% equity interest in DuCool, Ltd, an Israeli dehumidification technology concern.
 
Asarco, Inc - represented a consortium of significant private investment funds in an approximately $2bn bid to acquire the assets of Asarco, Inc (a significant copper mining concern) out of Asarco's chapter 11 cases.
