John Adolph represents financial institutions and companies in complex financings and real estate transactions involving energy facilities, manufacturing properties, and office and residential developments. Reviewed oil and gas leases, gas gathering agreements, and pipeline easements as part of examination of collateral prior to modification of a loan to an E&P company on behalf of Goldman Sachs.
Structured over 30 construction / acquisition loans for national and regional banks and insurance companies, secured by assets ranging from raw land, skilled nursing facilities, hotels, and residential developments.
Represented administrative agent, sole bookrunner, and lead arranger in $151 million syndicated master repurchase of mortgage assets by group of 5 national banks.
Advised commercial bank during workout of $30 million loan secured by regional shopping mall.
Negotiated financing and conveyance documents for sale of note portfolio as part of bank recapitalization.
Conducted market research for antitrust issues in Apache's $7 billion acquisition of BP assets, focusing specifically on operations, acreage, and infrastructure in Permian Basin.
Assisted in preparation for power marketing lawsuit by reviewing thousands of energy trades, noting terms of transactions and relevant issues.
Prepared summaries of material contracts for private equity firm during acquisitions of bankrupt homebuilding and power companies to advise which contracts should be assumed or rejected.
