Alan Rafte is the Chair of the firm's Business and Regulatory Section. He serves clients in transactions that involve upstream oil and gas projects; gas and liquids pipelines and facilities; merchant electric generation facilities; electric utilities; and energy commodity trading. He represents utilities, private equity investors, financial institutions and commodity trading businesses in transactions that include acquisitions and divestitures of assets and companies, joint venture arrangements, structured finance, leveraged finance, project development and project finance.

Alan is nationally ranked in 2012 Chambers USA in Transactional (Oil & Gas) and Projects; and ranked in Texas for Banking & Finance. Recent engagements have included acquisitions of upstream oil and gas assets and gas storage facilities by private equity firms; project financings of pipeline and power generation facilities; sales and purchases of power generation facilities; sales and purchases of commodity trading businesses and commodity trading positions; and private equity investments in joint ventures for oil and gas development projects.

Representative Matters

Apache Corporation in the $7 billion acquisition of BP's oil and gas operations, acreage and infrastructure the Permian Basin of West Texas and New Mexico and in Egypt's Western Desert, as well as BP's upstream natural gas business in western Alberta and British Columbia the acquiror of a partnership interest in a partnership that owned a number of power generating facilities

Legend Natural Gas (a Riverstone affiliate) in the $900 million purchase of all of the Barnett Shale asset of Range Resources Corporation

EIG Global Energy Partners in a $220 million equity investment and $200 million senior debt facility for Blackbrush Oil  & Gas LP and TexStar Midstream Services LP

Alinda Capital Partners in the $505 million acquisition of an entity that owns a pair of gas storage facilities in close proximity to the Barnett Shale and related storage contracts

Ruby Pipeline LLC and its parent, El Paso Corporation, in the project financing for the completion of construction and permanent project financing for the 675-mile natural gas pipeline running through Wyoming, Nevada, Utah, and Oregon, a joint venture between El Paso Corporation and Global Infrastructure Partners

EnerVest, Ltd. in the successful $100 million stalking horse bid in the CDX Gas, LLC bankruptcy case

A private oil and gas operator in connection with the formation of a joint venture with a Fortune 500 E&P company for which the oil and gas operator contributed a portion of its 400,000 net acre Marcellus shale leasehold interest in exchange for the funding of the costs and expenses to drill and develop the acreage
