Dewey Gonsoulin represents domestic and foreign lending institutions, money center banks, and regional banks in all types of financing transactions. These transactions range from basic forms of lending such as corporate and other working capital loans, revolving credit and letter of credit facilities, to complex financing structures such as syndicated loan transactions, acquisition loans, energy securitizations and project finance. Mr. Gonsoulin specializes in energy finance, and has worked on credit facilities in the upstream energy sector for almost 20 years. These transactions include traditional borrowing base credit facilities provided by senior bank lenders to independent producers, as well as more complex off-balance sheet volumetric production payment transactions and hedging arrangements. He has also worked extensively on mezzanine loan and equity transactions for oil and gas producers. In addition to the upstream energy finance market, Mr. Gonsoulin handles financing transactions in the oilfield service and midstream sectors of the energy industry. Mr. Gonsoulin's broad experience acting as counsel to lenders allows him to effectively represent many of the firm's corporate clients in their financing transactions.

In addition to his work on new financings, Mr. Gonsoulin also handles work-outs and restructurings for many of the firm's lending clients. In 2009, he worked alongside the firm's Bankruptcy and Restructuring Group and served as lead transaction counsel on approximately 15 financings involving companies in the energy industry.

Representative Matters

Represented a private oil and gas company on a $900,000,000 oil and gas borrowing base facility having an initial availability of $600,000,000 provided by a syndicate of lenders.

Represented BNP Paribas, as administrative agent, in connection with a $200,000,000 oil and gas borrowing base facility having a borrowing base availability of $76,000,000 provided to a private oil and gas company by BNP Paribas.

Represented BNP Paribas, as administrative agent, in connection with a $200,000,000 oil and gas borrowing base facility with an initial availability of $90,000,000 provided to a private oil and gas company by a syndicate of lenders.

Represented Compass Bank, as administrative agent, in connection with a $300,000,000 oil and gas borrowing base facility having an initial availability of $200,000,000 provided to a private oil and gas company by a syndicate of lenders.

Represented a private food service company in connection with a $135,000,000 revolving credit facility provided by a syndicate of lenders.

Represents Union Bank, as administrative agent and sole lender, in connection with the workout and subsequent bankruptcy of Cornerstone E&P Company, L.P.

Represents Union Bank, as administrative agent, in connection with the workout and subsequent bankruptcy of Edge Petroleum Corporation.

Represented Union Bank, as administrative agent, in connection with the workout and subsequent bankruptcy of Crusader Energy Group, LLC.
