Dave Domansky is a partner in the Seattle office of Bracewell & Giuliani, where his practice focuses on the representation of project developers in connection with the acquisition, development and financing of energy infrastructure projects, both in the United States and globally. Dave’s project development and finance work includes renewable energy projects, such as wind and biomass facilities, as well as traditional thermal generation facilities and LNG receiving terminals. For over 20 years, Dave has advised clients on the full spectrum of project acquisition, development and finance issues, including transaction structuring, power sales, construction contracts, and equity and debt financing. His clients have included independent power producers, public utility districts, electric cooperatives, commercial banks and major oil companies.
Representative Matters
Project Development and Finance – Renewable Projects
Represented the members of a wind generation project as project counsel in connection with the development and financing of the Harvest Wind Project, a 99 megawatt (MW) wind generating project located in Klickitat County, Washington.
Served as project counsel in connection with the development, sale and construction financing for the 205 MW White Creek Wind project in Klickitat County, Washington.
Represented a developer as project counsel in connection with the development of a 28 MW landfill gas-to-energy project located in King County, Washington.
Represented a municipal utility in connection with the acquisition and development of a 120 MW wind project located in Kern County, California.
Represented the underwriters as local counsel in connection with the financing of a portfolio of wind generating projects, which included projects located in Oregon.
Represented the lenders as local counsel in connection with the project financing of a 300 MW wind generating project located in Washington and Oregon.
Project Development and Finance – Thermal Projects
Represented China Development Bank in connection with the Bank's participation as a lender in the approximately $14 billion project financing of the PNG LNG Project, an upstream gas development and liquefaction facility located in Papua New Guinea.
Represented a power developer in the development and $1.8 billion project financing of Phase II of a 2,400 MW natural gas-fired project located in the State of Maharashtra, India.
Represented a U.S.-based independent power producer in connection with the development of an 820 MW fuel oil-fired power project in Punjab Province, Pakistan.
Represented a state university in connection with the proposed development of a cogeneration facility designed to serve the steam and power needs of the university's campus and provide additional capacity for wholesale power sales.
Represented a developer in connection with the proposed development of an integrated coal-gasification and power project in Nanjing, China as part of the contemporaneous development of a petrochemical complex.
Mergers & Acquisitions
Representing the owner in connection with the sale of a coal-fired generating facility in Alaska.
Represented a Canadian municipal utility in connection with its sale of a tenancy-in-common interest in a 270 MW natural gas-fired generation facility located in Washington State.
Represented a subsidiary of a major oil company in the sale of a 750 MW natural gas-fired project located in the United Kingdom.
Represented a U.S.-based independent power producer in connection with its acquisition of a joint venture interest in a 1,680 MW coal-fired power project located in Gladstone, Queensland, Australia.
Represented a U.S.-based pulp and paper company in connection with its sale of the energy complex at its integrated pulp and paper mill located in the southeastern United States.
Represented a project developer in connection with the acquisition and redevelopment of electric and steam generation assets serving a petrochemical facility located in Daesan, Korea.
Represented an Indonesian natural resources company in connection with the proposed purchase of a coal mine and related facilities in Indonesia, which included a long-term sale of coal to a Chinese company.
