Dashiell A. Kohlhausen's practice is focused on oil and gas and real estate transactions, including the sale, acquisition, leasing, financing and development of industrial and energy facilities, energy assets, as well as mixed-use and office developments. In addition, Mr. Kohlhausen provides counsel to various energy clients with regard to petroleum pipelines, mergers and acquisitions, sales, farmouts, joint ventures, operating agreements, rig procurement, engineering, procurement and construction, leasing, exploration, and production and development.
Mr. Kohlhausen's experience in energy involves the representation of oil and gas companies in all phases of the business, including the preparation and negotiation of participation agreements, contracts for drilling and other service arrangements, operating agreements, processing agreements, purchase and sale agreements, and petroleum and transportation and exchange agreements.
Representative Matters
Represented of publicly held international oil company in connection with the negotiation of various development, construction and export agreements for multiple new ultra-deepwater Gulf of Mexico prospects, including a $7.5 billion prospect involving two 130-mile new-build export pipelines.
Broad experience representing various money center banks, regional banks and borrowers in syndicated lending transactions to all facets of the energy industry including both upstream E&P companies and midstream companies, including experience in performing related mineral title due diligence for pledged collateral, as well as drafting borrower-specific operating and post-closing covenants.
Represented a privately held oil and gas operator in connection with the development, construction, and operation of certain current and future midstream and gathering assets in the Marcellus Shale region, and a related midstream joint venture with a Fortune 500 E&P Company.
Represented a privately held oil and gas operator in connection with the formation of a joint venture with a Fortune 500 E&P Company whereby such oil and gas operator contributed a portion of its working interest position in approximately 400,000 net acres of Marcellus Shale leasehold interests in exchange for the funding of the costs and expenses of the drilling and development of such acreage.
Represented an international publicly held oil and gas company in connection with the confidential evaluation of and related due diligence on a publicly held heavy crude refiner as a potential takeover target.
Represented Canadian energy fund in connection with an all-stock acquisition of a privately held entity holding approximately 46,000 net mineral acres in the Bakken Shale (North Dakota), for a purchase price of approximately $456 million.
Advised a private oil and gas operator in connection with its entry into, and leasing of mineral positions in, the Eagle Ford Shale, including the preparation of a standard oil and gas lease form and lease negotiation policies consistent with the Eagle Ford Shale leasing market.
Represented an owner in connection with the refurbishment and expansion and commissioning of certain FERC regulated underground natural gas storage facilities in Louisiana and related storage leases. Representation included negotiation of multiple precedent agreements for new customers as well as termination of storage leases of existing customers for non-jurisdictional storage caverns.
Represented a solar power developer in connection with the raw land acquisition, construction and financing agreements for a new solar power project in Austin. Texas.
Represented a project company in connection with the engineering, procurement and construction of a new propylene production facility located on the Houston Ship Channel.
Represented an international oil trading company in the development, financing and construction of a 3 million barrel oil storage facility at a ground leased site in Cushing, Oklahoma. Responsibilities included working directly with business personnel as principal legal counsel on various operation and financing issues related to the project.
Represented an international midstream oil and gas company in connection with the leasing of tank farm storage space in Cushing, Oklahoma.
Represented a Fortune 500 company in the development of a drilling rig fabrication yard in the Caspian Sea Region.
Represented a third-party purchaser in connection with the acquisition and related financing of distressed notes and related real and personal property foreclosures of a public/private development.
Represented a real estate investment firm in leasing and operation matters of approximately 800,000 square feet of Class A office space within three buildings in the Galleria/Uptown submarket in Houston, Texas.
Represented various energy companies in the leasing of office space totaling more than 1,000,000 square feet in various locations across the country, including the Houston, Texas and New York, New York markets.
Represented a property developer in acquiring, leasing, developing, financing and constructing a 13-building mixed-use condominium, retail and office development in Houston, Texas.
