Clark Thompson is a partner in the firm's Business and Regulatory Section. His practice focuses on the acquisition, development, financing and divestiture of complex real estate and energy projects.
Mr. Thompson regularly counsels developers, borrowers, sponsors, investors, lenders and facilitators on both a strategic and implementation level. His long history of development work enables him to provide experienced guidance regarding the formation and dissolution of partnerships, joint ventures and other development entities, and with all forms of development, EPC/construction, operation, management, offtake, supply and service agreements. His list of project financings includes sale/leaseback, synthetic lease and other structured and leveraged lease financings, as well as traditional forms of term, construction, mezzanine and permanent financings. He also negotiates modifications and workouts in situations that involve distressed debt, equity and/or facilities, and has also been involved in numerous corporate acquisitions and sales and in private equity investments in a variety of industries.
On the real estate side, Mr. Thompson's projects include major office, industrial, residential, mixed use and retail projects located both in and outside of the State of Texas. He has particular experience working with large companies in connection with their headquarter facilities, having been personally involved in build-to-suit and/or leasing transactions totaling in excess of 7,000,000 square feet over the past few years.
On the energy side, Mr. Thompson has been involved in the full spectrum of energy-related projects. He has acquired, developed, financed and/or sold pipelines, terminals and other midstream assets; refinery, processing and other downstream facilities; power plants; wind farms and other renewable projects; and many other similar projects.
Mr. Thompson has been recognized as one of America's Leading Business Lawyers by Chambers USA since 2004, which described him as a "great negotiator," having "great technical skills," and "known for his expert handling of leasing and novel financing transactions." He has also been listed as one of the top lawyers in the U.S. for many years by Best Lawyers in America and Legal 500, the latter of which described him as 'very, very talented and intuitive" with "a good deal of business acumen and industry savvy."
Mr. Thompson has recently completed his second term on the firm's management committee, has previously served as head of the firm's business practice area and as chairman of the firm's real estate, energy and finance section, and continues to serve as head of the firm's real estate and infrastructure practice group.
Publications and Speeches
Mr. Thompson has been a speaker at numerous conferences on topics including structuring, developing and financing projects, distressed situations and workouts, and construction. He also authored the chapter on “Real Property Law and Land Use Controls: Purchasing and Developing Land” in the book entitled Doing Business in Texas – A Guide for Foreign Investors Doing Business in the Lone Star State, Second Edition, International Law Section, State Bar of Texas, 2003.
