Ms. Welch counsels clients in matters involving employee benefits, including health and welfare plans and retirement plans. Ms. Welch advises employers regarding compliance with Federal tax laws, the Employee Retirement Income Security Act (ERISA), the Consolidated Omnibus Reconciliation Act (COBRA) and the Health Insurance Portability and Accountability Act (HIPAA). Ms. Welch's practice includes assisting in the analysis and structuring of employee benefits in business reorganizations, acquisitions and mergers to minimize the potential risk of benefits liabilities and to maximize the income tax benefits of the transaction to the client. Ms. Welch assists in drafting purchase agreements, conducting due diligence and benefits transition.
 
Additionally, Ms. Welch reviews plan documents, prepares plan amendments to conform to current tax laws and ERISA and represents clients with respect to their plans before the Internal Revenue Service and the Department of Labor. Ms. Welch advises clients on the administration of employee benefit plans, federal tax laws, ERISA, and state laws with regard to distributions, filings, qualified domestic relations orders, COBRA, and fiduciary duties in plan administration.
