Christopher (Chris) Olive is a partner in the firm's energy, finance, and banks and financial institutions practice groups. Chris represents domestic and foreign banks, bank and financial holding companies, broker-dealers, non-bank financial institutions, energy companies, hedge funds and private equity companies, institutional investors, financial sponsors, and other public and private companies in complex energy and financial transactions, financial products and related regulatory and advisory matters.

Chris' practice covers many diverse transactions and matters, including the following:

Lending

Chris represents agents, lenders and borrowers in syndicated, mezzanine, first lien/second lien, leveraged acquisition, asset-based, energy, premium finance, securities inventory, commercial real estate and other loan facilities and related bank regulatory matters. Chris has experience representing clients in distressed loan transactions, out-of-court financial restructurings and debtor-in-possession financings and in creating, negotiating and enforcing intercreditor arrangements. Chris also represents clients as purchasers and sellers of par and distressed loans and loan participations and other debt claims, using both LSTA form documents and other customized purchase and sale documents and on federal and state regulatory matters relating to lending and loan participation transactions.

Swaps and Derivatives

Chris represents derivatives providers and counterparties in interest rate, foreign exchange, equity, commodity, credit and other derivatives transactions and facilities, and related credit support, intercreditor, and netting arrangements. Chris has experience representing clients on structured derivatives transactions and facilities, including committed commodity hedging facilities, synthetic prime brokerage facilities, total return swap facilities, interest rate, foreign exchange and commodity derivatives trading platforms and services agreements, structured credit derivatives transactions, CDOs and credit event determinations, early terminations and close-outs, enforcement of netting, set-off and bankruptcy safe harbor provisions relating to derivatives transactions, and transfers of derivatives-related claims. Chris actively utilizes both ISDA and Foreign Exchange Committee form documents and related annexes and other customized derivatives documents. Chris is involved in various ISDA Committees and regularly advises clients on federal and state regulatory matters involving over-the-counter and exchange-traded derivatives.

Structured Finance

Chris represents warehouse lenders, issuers, servicers and investors in asset-backed credit facilities, receivables purchase and sale facilities, securitization facilities and related hedging arrangements, particularly those involving residential mortgage loans, insurance premium financing loans and automobile loans. Chris routinely advises clients on true sale, nonconsolidation, bankruptcy remoteness, and other solvency issues in such facilities and arrangements.

Securities and Loan Repurchase and Securities Lending

Chris represents buyers, sellers, and custodians in syndicated and bilateral master repurchase and reverse repurchase facilities involving equity and debt securities and mortgage loans, debt and equity securities lending facilities, and related custodial, margin, hedging and netting arrangements, using both SIFMA forms and other customized documents.

Life Insurance Finance

Chris represents lenders, servicers, custodians and investors in life insurance premium financing and loan participation facilities, life settlement transactions, life insurance-relating structured financing and hedging transactions and programs, insurable interest issues, and related regulatory matters.

Energy and Commodity Transactions

Chris represents purchasers, sellers and intermediaries in crude oil and refined products, natural gas, power, and agricultural commodity purchase and sale and financing transactions and physically-settled derivatives transactions, using both NAESB, EEI and other industry recognized forms and customized documents, and related CFTC regulatory matters.

Other Regulatory and Advisory Matters

Chris represents banks and broker-dealers in creating multijurisdictional platforms for their high net worth investor and fund customers involving securities brokerage and investment advisory activities and derivatives and structured products transactions.
