Charles focuses his practice on federal taxation issues, including tax controversies and transactional planning, with an emphasis on the federal tax treatment of state and local government bonds of all types. He also has experience in federal income and excise tax matters in areas such as transactional planning, general federal tax advice and tax-controversy matters affecting business organizations, non-profit organizations, cooperative organizations, and state and local governments.
He regularly represents clients on federal income tax matters under legislative consideration by Congress and regulatory and ruling consideration by the U.S. Department of Treasury and the Internal Revenue Service. He has dealt extensively with the IRS National Office, Treasury Department and Congressional personnel on both technical and tax-policy issues.
Representative Matters
Represented issuers and underwriters in virtually every type of tax-exempt financing—governmental bonds, of all types (including stadium financings), as well as exempt private-activity-bond financings of all type (e.g. solid waste, airports, seaports, 501(c)(3) financings, student-loan bonds, housing, et al)
Represented other lawyers in section 6700 proceedings initiated by the IRS
Represented underwriters and gas suppliers in complex tax-exempt financings of prepaid natural gas suppliers
Represented taxpayers in tax planning and tax controversies involving energy tax credits
Represented issuers of tax-exempt bonds in resolving controversies arising out of IRS audits of their tax-exempt bonds
Represented transit authorities in defeased leasing transactions involving rail cars, buses, and repair and maintenance facilities
Represented rural electric cooperatives in defeased leasing transaction involving electric distribution systems
Represented a major rural electric cooperative in a restructuring involving its generation and transmission assets
Represented a corporation engaged in the secondary market acquisition of student loans in its conversion from tax-exempt to taxable status
Represented Las Vegas casinos in landmark tax litigation involving taxation of employee meals
Represented numerous businesses and investment bankers on tax-exempt financings, corporate reorganizations and other business transactions
