William (Bill) Gutermuth's practice consists principally of merger and acquisition and investment projects. A significant part of his M&A practice involves the energy industry and in particular the upstream and midstream segments of the industry. He has also acted as principal outside legal counsel to public companies in the funeral service industry, heating, ventilation and air conditioning industry, metals processing industry, land care and property management industry, manufactured housing industry and physician management companies. He has also represented a large number of privately held buyers and sellers.
The investment portion of his practice consists of both private equity and venture capital financings, divided evenly between the representation of investors and companies. Mr. Gutermuth has also acted as special counsel to audit committees and boards of directors seeking independent counsel on transactional and governance matters. He is recognized as a senior counselor to many of his clients and is often called on to consult on matters of transaction structure and negotiating strategy. He has served on the boards of directors of several public and private companies.
Mr. Gutermuth served as the head of the Corporate and Securities Section of the firm and is a published author and frequent speaker on corporate governance and enterprise risk management topics.

General representation of a publicly traded private equity firm.
Representation of universities, venture capital investors and companies in the formation and financing of companies engaged in the commercialization of technology.
