Adam Adler's practice focuses on special situations and investments and acquisitions in and of distressed and insolvent companies. He provides clients with corporate, securities and bankruptcy law advice on all aspects of their transactions, from pre-commitment to execution and exit. 

Mr. Adler's clients include purchasers and sellers of distressed assets and businesses and private equity funds focused on distressed investments.

Mr. Adler has also advised corporate debtors, official and unofficial bondholder and equity committees and individual creditors of bankrupt entities. 

Representative Matters

Chapter 11 liquidation of Arrow Cargo, a cargo airline serving Latin America, in 2010. Served as transaction and bankruptcy counsel to MatlinPatterson as both creditor and majority equity holder.

Chapter 11 restructuring of Crescent Resources LLC, a land developer, by MatlinPatterson and other significant holders of first lien debt in 2010. Served as transaction counsel to MatlinPatterson. 

Acquisition of substantially all of the assets of Foamex International, Inc., a leading manufacturer of foam products, through a credit bid pursuant to a sale under §363 of the Bankruptcy Code in 2009. Served as transaction counsel to MatlinPatterson.

Private equity investment by M.D. Sass Macquarie Financial Strategies in Hightower Holding, LLC, a private wealth management start-up. Served as transaction counsel to M.D. Sass Macquarie Financial Strategies.

Acquisition of World Air Holdings, Inc., a passenger and cargo airline, by Global Aero Logistics Inc. a passenger and cargo airline in 2007. Served as transaction counsel to MatlinPatterson, who was the equity sponsor of the transaction.

Private equity investment in Impeva Labs, Inc., a developer of container tracking and security solutions, by Agility Logistics, a leading global logistics firm based in Kuwait, in 2006. Served as transaction counsel to Agility Logistics.
