Our funds team provides legal advice involving portfolio companies that are held by private investment funds. Our experience in representing funds generally, and the strength of our firm's general legal practices, permits our lawyers to provide advice that is sensitive to the range of issues a fund-sponsored company may face.
Over the years, we have been involved in all aspects of portfolio company representations, including helping our clients to:
- Evaluate, negotiate and execute merges and acquisitions, as well as capital markets, strategies and transactions
- Consummate complex lending and leveraged finance transactions, including recapitalization transactions
- Comply with the Securities and Exchange Act of 1934, including with respect to periodic and reporting and also with respect to reporting under Rule 15c2-11
- Carry out internal investigations and implement remedial strategies relating thereto
- Optimize regulatory and government procurement strategies, including through lobbying or strategic communications activities
- Comply with regulatory requirements, including those of the Department of Justice, the Department of Defense, FERC, SEC, NASD and other regulatory and/or self-regulatory agencies
