William T. Luedke IV serves as head of the firm's banks and financial institutions section and as chairman of the marketing and client relations committee. Mr. Luedke's practice focuses on mergers and acquisitions, corporate finance, and regulatory and enforcement matters for financial institutions. He represents both buyers and sellers in mergers and acquisitions; Bracewell & Giuliani LLP has ranked in the top five in the nation in each of the last five years with respect to the number of mergers and acquisitions handled.
Mr. Luedke also represented financial institutions and underwriters in connection with initial public offerings, the private placement of debt and equity securities, and trust preferred securities issuances and pools. He has significant experience in chartering de novo financial institutions, Subchapter S elections, bank holding company formations and enforcement matters resulting from regulatory examinations. Mr. Luedke routinely advises boards of directors regarding fiduciary duties, Sarbanes-Oxley and other corporate governance issues, and has overseen a number of internal corporate investigations related to financial institutions.
