Gregory J. Vojack represents and counsels clients in general corporate law, international securities transactions, joint ventures and oil and gas projects, and serves as legislative counsel for several governments of Central Asia. He has extensive experience in both civil and common law commercial legal systems, and substantial experience as an international business economist and corporate adviser.

In the energy sector, Mr. Vojack represents international and state-owned oil and gas companies in production and exploration contracts, the establishment of joint ventures and the negotiation of production sharing contracts. Mr. Vojack structures asset-backed financings for international banks and investment banks. In Kazakhstan, he worked extensively on privatizations of banks, the state-owned telecommunications company, a large oil and gas production company, and mining concerns.

A resident in Kazakhstan since 1994, Mr. Vojack is responsible for the firm's office in Almaty, Kazakhstan, and its practice throughout Central Asia. He received international recognition for his work in corporate and commercial law in the Commonwealth of Independent States that led to the development of the capital markets in Kazakhstan. He has served as the project director of the USAID Securities Market Development Project and as outside legal counsel to the World Bank.

Prior to becoming an attorney and joining Bracewell in 1994, Mr. Vojack served as an economist for a number of multinational companies. He initially worked for Honeywell Inc. in their efforts to develop business in Eastern Europe. He assisted a German firm in the development of its business with the Soviet Union and China. Later he joined Hanimex, Ltd. Pty., of Sydney, Australia, assisting that company with its mergers and acquisitions, and with a public offering of securities.

Mr. Vojack was director of the Eastern European Division of the Southwest Center for International Business, College of Business Administration, September 1989 to September 1991. He served as an adviser to Alexander Ivanenko, first deputy chairman of the state property committee, for economic and legal matters concerning the various issues surrounding privatization in the financial sector. He was also primary investigator for a feasibility study examining the potential of a regional capital market exchange with electronic links between Ukraine and Eastern European countries. He established the University's Moscow office to coordinate consulting and advisory work for the state committee for property management (privatization committee). His work for the state property committee included the privatization of a number of banks. Mr. Vojack acted as co-director of a project to translate all Russian legislation affecting foreign investment in Russia. He served as executive producer and moderator of a series of teleconferences about issues of privatization and foreign investment in the Soviet Union. The teleconference originated between Moscow and Houston and was then broadcast to other sites.

Mr. Vojack was associate director of Russian projects for the University of Houston Law Center, September 1991 to January 1994. He served as the liaison for the Russian capital markets project with the efforts of the Ministry of Finance, the state property committee and other private securities market participants to organize and implement a Russian telecommunication stock exchange system. While at the University of Houston Law School he served as an adviser to the Russian petroleum legislation project.

Representation of Central Asia Cement in the defense of property rights with the Supreme Court of the Republic of Kazakhstan. The successful litigation of this case led to the setting of key precedents for protection of foreign investors' rights in the Republic of Kazakhstan.

Issuer's counsel Bank TuranAlem preferred convertible share offering.

Representation of Citibank in numerous financings in the Republic of Kazakhstan.

Bank's counsel KazTransGas-ING credit linked notes $100million.

Outside general counsel to various dealer/brokers operating in Central Asia.

Representation of State Street Bank in establishment of its local custodian program in the Republic of Kazakhstan.

Legal counsel for numerous privatizations through the securities market in Kazakhstan representing CIBC Oppenheimer, Global Securities, AIG Silk Road Fund, Regent Central Asia Fund and Kazakhstan Asset Management.

Outside legal counsel, World Bank, Kazakhstan and Kyrgyzstan. In this capacity he has been sole counsel during the World Bank's 1995 negotiations with both Kazakhstan and Krygzstan for a Financial Sector Adjustment Loan. He participated in drafting conditionality terms and prepared reviews of numerous laws that affect the financial sector including those affecting private property rights, bank privatization and supervision.

Project director of the USAID Securities Market Development Project, where he participated in drafting the: new Civil Code, General Part; Law on Securities and Stock Exchanges; Law on Investment Companies; Law on Foreign Investment; and the Law on Economic Entities. This project helped to establish the National Securities Commission of Kazakhstan, and Mr. Vojack acted as outside general counsel to the new Commission. Mr. Vojack also assisted in developing the program which has been selling the state interest in various commercial banks in Kazakhstan.
