Catherine's practice focuses on commercial lending and financial transactions.  She has extensive experience representing commercial banks, commercial finance companies, mezzanine funds, and borrowers in connection with a wide variety of commercial lending transactions, including the structuring, negotiating and documenting of all types of senior, subordinated, secured, second lien, and unsecured syndicated financial and other lending transactions, including secured asset-based debt financings, acquisition and working capital facilities, term b loans, bond credit enhancement facilities, various hedging arrangements, securitization and conduit lending transactions, oil and gas secured financings, as well as loan restructures and workouts.  The majority of Catherine’s practice consists of the representation of large commercial banks in connection with syndicated credit facilities to borrowers in a wide variety of industries.  Catherine also devotes a significant amount of time to the representation of borrowers in syndicated loan transactions, particularly secured leverage transactions.

Industry segments include oil and gas exploration and production and related service companies, transportation, and marketing businesses, including reserve based lending, mezzanine lending, project financings, and derivative linked, structured financings. 

Derivative experience includes advising clients on regulatory and legal issues pertaining to derivatives, negotiating and documenting swap and swap options using both standard ISDA documentation, and non-standard forms.

Representative Matters
Represented lead arrangers and administrative agents in $1.85 billion secured revolving credit and term loan B facilities for one of the largest independent refiners and marketers of petrochemicals and petroleum products.

Represented largest independent owner/operator of products pipelines in $1.6 billion revolving credit facility.

Represented leading North American energy transportation and distribution company in $800 million revolving credit facility and $2.25 billion Canadian-dollar acquisition facility.

Represented arranger and administrative agent in $1 billion secured revolving credit facility for publicly traded midstream energy services master limited partnership.

Represented natural gas pipeline joint venture in $2.5 billion revolving credit facility.

Represented exploration and production company in $1.3 million secured revolving credit facility.

Represented lead arranger and administrative agent in $750 million multi-currency, multi-borrower secured revolving credit facility.
