Robin J. Miles represents energy companies, banks, investment banks and investors in senior and subordinated debt financings and offerings, acquisition and project financings, structured financings, leveraged buyouts, asset and accounts securitizations, various structured commodity arrangements, maritime financings, trade financings, and debt restructurings.
Mr. Miles has extensive experience representing major energy companies in bank, capital markets, and structured commodities transactions. He was lead counsel for Reliant Energy, Inc. in its retail credit-enhanced structure and in its $500 million revolver and $250 million synthetic letter of credit facility. He was also lead counsel to El Paso Corporation in its $1.1 billion oil and gas credit facility, $1.5 billion corporate credit facility and $750 million master limited partnership credit facility.
Mr. Miles also has extensive experience representing lead arrangers in energy-related corporate and structured finance and commodity transactions. He was lead counsel for Société Générale in its $300 million secured credit facility and committed, secured hedging facility for MxEnergy Inc. and for Merrill Lynch in its secured $200 million synthetic revolving reserve-based financing for Callon Petroleum Corporation.

Represented Citigroup in $2.2 billion minority interest financing for Anadarko Petroleum Corporation, 2007.
Represented Bank Turan Alem in $750 million securitization of diversified payment rights, 2007.
Represented Reliant Energy, Inc. in the development and execution with Merrill Lynch of its credit-enhanced structure for supply and hedging of retail power business, including structuring of ring-fence and credit sleeve transaction (Energy Risk magazine's 2008 deal of the year), 2006-2007.
Represented El Paso Corporation in its $500 million structured letter of credit facility, 2007.
Represented Société Générale in its committed, first and second lien secured financial gas hedging facility for MxEnergy Inc. (Energy Risk magazine's 2007 deal of the year), 2006.
Represented Ferrell Companies, Inc. in its $100 million monetization of MLP units with GSO, 2006.
Represented Citicorp and JP Morgan Chase in their $1 billion secured, ring-fenced financing to Northern Natural Gas and Transwestern Pipeline, non-debtor Enron Corp. subsidiaries, 2001-2002.
Represented Ferrellgas, L.P. in its $160 million accounts receivable securitization from JP Morgan Chase, 2001-2006.
Represented Reliant Energy, Inc. in its $450 million accounts receivables securitization from JP Morgan Chase, 2002-2006.

Represented Ferrellgas L.P. in its $200 million high yield offering, 2008.
Represented Sabre Oil & Gas Holdings Ltd. in its $20 million financing of Ghana oil and gas properties, 2008.
Represented El Paso Exploration and Production Company in its $1 billion oil and gas revolving credit facility, 2007.
Represented Silver Point Finance, LLC in its $390 million first and second lien credit facility for Valerus Compression Services, LP, 2007.
Represented Merrill Lynch, lead arranger, in its secured $200 million synthetic revolving reserve-based acquisition financing for Callon Petroleum Corporation, 2007.
Represented BNP Paribas, lead arranger, in its secured $390 million revolver and hydrocarbon hedge facility to Belden and Blake Corporation, 2005 and 2006.
Represented Société Générale, lead arranger and hedge provider, in its first and second lien $300 million revolver and committed gas hedging facility for MxEnergy Inc., 2006.
Represented Credit Suisse and Bank of America, lead arrangers, in their secured $100 million revolver and $500 term loan B to Lyondell-CITGO Refining, L.P., 2001-2005.
Represented Standard Bank PLC, lead arranger, in its secured $30 million revolver to CHX Belize L.P. first oil and gas reserved based financing in Belize, 2006-2007.
Represented Reliant Energy, Inc. in its $500 million revolver and $250 million synthetic letter of credit facility, 2007; $700 million revolver, $400 million term loan B, and $300 million synthetic letter of credit facility, 2006; $299 million term loan B, 2005; $750 million senior secured notes, 2004; $500 million senior secured tax-exempt bonds, 2004; and $1.1 billion senior secured notes, 2003.
Represented Texas Petrochemicals, L.P. in its secured $115 million revolver and $285 million term loan B acquisition facility arranged by Deutsche Bank and LaSalle National Bank, 2006.
Represented Old World Industries, Inc. in its secured $200 million revolver and $100 million term loan arranged by Wells Fargo Bank, 2007, and secured $185 million revolver and $85 million term loan B arranged by LaSalle National Bank and GMAC Finance, 2005.

Represented Reliant Energy, Inc. in its successful $6.2 billion debt restructuring, 2002-2003.
