Ron I. Erlichman focuses his practice on domestic and international transactions involving a wide array of real estate, hospitality, sports, entertainment and energy assets.  Mr. Erlichman counsels developers, owners, operators, lenders, borrowers, investors, landlords, tenants and purchasers in connection with the development, construction, finance, leasing, acquisition and divestiture of such assets, including hotels, office buildings/complexes, professional sports stadiums and arenas, entertainment and hospitality venues, urban convention and exhibition centers, mixed-use developments, urban parks, multi-family complexes, public school facilities, energy generation and transmission facilities (including renewable energy facilities), terminals, chemical plants, natural gas storage facilities and pipelines.

Among other recent matters, Mr. Erlichman has represented clients in the hospitality, sports and entertainment industries on projects involving the private/public finance, development, construction, leasing, operation, sponsorship and/or naming of a professional football stadium, a professional basketball arena, a performing arts venue, an exhibition and convention facility, a downtown urban park, an entertainment tower structure and a convention center headquarters hotel.

He also has experience in representing clients in connection with transactions throughout the Middle East, with particular focus on the United Arab Emirates.  In addition to his work in New York and Houston, Mr. Erlichman spends a portion of his time in the firm's Dubai office and has advised both foreign and local residents and businesses in connection with all aspects of their operations in the region.

Mr. Erlichman’s broad range of clients includes individuals, limited and general partnerships, corporations (including non-profit corporations), developers, professional athletic teams, rodeos, financial institutions, lenders, and private- equity and other investors. He also counsels and represents public entities, such as school districts, college systems, municipalities and local government corporations.

Representative Matters

Hospitality, Sports & Entertainment

Represented the Houston Livestock Show & Rodeo in connection with the redevelopment of the Astrodomain Complex, including the development, construction, lease, operation and sponsorship of Reliant Stadium and Reliant Center.

Represented the City of San Antonio in connection with the development, construction, lease and operation of the Grand Hyatt Convention Center Hotel in San Antonio, Texas, including the addition of residential condominiums.

Represented Discovery Green Conservancy in connection with the development, design, construction, finance, operation and sponsorship of the Discovery Green urban park in downtown Houston, Texas.

Represented the City of San Antonio in connection with the redevelopment, lease and operation of the Tower of the Americas structure in Hemisfair Park in San Antonio, Texas.

Represented the San Antonio Spurs in connection with a facility wide retail concession agreement for the SBC Center.

Represented the San Antonio Spurs in connection with the negotiation of certain facility agreements related to the formation of the San Antonio Rampage in San Antonio, Texas.

Middle East

Assisted a diversified financial services company in connection with establishing a branch office in the Dubai International Financial Centre.

Represented a U.S. publically traded automobile manufacturer in connection with the development of a driving academy in Bahrain promoting the manufacturer's off-road vehicles.

Represented a franchisee in connection with the exclusive franchise rights in the United Arab Emirates for a publically traded U. S. restaurant chain.

Represented the franchisor in connection with the expansion into India of an ethnic fast food chain based in the Middle East.

Represented an aircraft chartering company in connection with a Cooperation Agreement regarding the expansion of aircraft chartering services into Africa.

Leasing

Represented the owner/landlord in connection with the leasing of a mid-town Houston, Texas Class A office building, including a 128,000 RSF lease.

Represented the tenant in connection with leasing 301,000 RSF in a new Class A office tower in downtown Houston, Texas.

Represented a petrochemical company in connection with the ground lease of land in Iberville Parish, Louisiana for the development of a petrochemical terminal facility with berthing capabilities.

Acquisition, Divestiture & Investment

Represented a U.S. public company in connection with the acquisition of an interest in a New York based supply chain logistics and transportation brokerage company.

Represented a U.S. public company in connection with the acquisition of an ammonia and feed terminal facility in Tampa, Florida.

Represented a U.S. public company in connection with division and sale of a fine chemicals plant in LaPorte, Texas.

Represented Houston Independent School District in connection with the sale of its approximately 24-acre administration complex in the Galleria area of Houston, Texas.

Represented Goodwill Industries of Houston in connection with the sale of its headquarters complex.

Finance

Represented the borrower in connection with the real estate aspects of $300MM term and revolver corporate credit facility secured by a chemical plant.

Represented the lender in connection with all collateral aspects of a $275MM credit facility to a re-capitalized energy services company.

Represented the borrower in connection with the real estate aspects of a $280MM term acquisition loan and $115MM working capital revolving loan for the acquisition of a petrochemical facility.

Represented the lender in connection with the real estate aspects of a $75MM working capital facility to a midstream energy company.
