Mr. Zolotyuk's practice is focused on joint ventures, oil and gas, general corporate law and legislative counseling in Central Asia. He has experience in both civil and common law systems.

Mr. Zolotyuk has structured a number of asset-backed financings for international and investment banks. His practice in oil, gas and power sector matters includes representing both international and state companies. He has worked in various areas of corporate and investment law, including legal support during establishment of legal entities (including foreign ones), investment projects (including those related to engineering), representation of clients' interests in courts on labor and tax disputes, as well as civil and commercial matters.

Mr. Zolotyuk has been an advisor on matters including licensing, energy, anti-monopoly (tariff) regulation, and security market regulation. He has advised the IFC and EBRD on numerous debt and equity investments in Russia and Kazakhstan including drafting and perfecting security packages, restructuring the debt and enforcing security over certain assets, and providing law opinions thereon.

Prior to joining Bracewell, Mr. Zolotyuk worked as a judge in the Regional Economic (Arbitration) Court of Karaganda (1992-1995). He has also worked for Cameron, McKenna (1996-2001), Denton Wilde Sapte (2000-2001), for CMS Cameron McKenna in Moscow (2001-2004), and for Shell Russia (Salym Petroleum Project, 2004-2005).

Representative Matters

Representing a foreign petroleum corporation in city courts and the Supreme Court in connection with dispute in relation to a concession agreement followed by preparation for arbitration proceedings in Stockholm

Advising the joint stock company Ispat Karmet on the negotiation and execution of a loan facility with the EBRD and IFC for the upgrading of the Kamet Steel Works in Temirtau

Counseling the EBRD on the provision of project financing in the power sector in Kazakhstan including undertaking a substantial due diligence exercise and drafting and negotiating all project documentation

Acting for the Government of Kazakhstan on the rehabilitation of the Uzden Oil Field and the construction of a pipeline across Eastern Kazakhstan to China including drafting the project framework agreement and various ancillary corporate documentation for the incorporation of the project SPV

Advising IFC on various debt and equity financings as part of its SME program in Kazakhstan

Counseling a major west company on investment in mining goldfields in Kyrgyzstan, assistance in negotiations with the Government of Kyrgyzstan regarding terms of license agreement and JVA

Advising the EBRD on project financing in the power sector in Russia including undertaking a substantial due diligence exercise (privatization history). Counseling on the licensing regime, anti-monopoly law, tax and accounting law

Advising a major company on equity investments in Russia, including advising on project agreements, issues providing Russian law opinions thereon. Representing clients in courts on labor, civil and commercial matters

Working as in-house lawyer for Salym Petroleum project (Shell subsidiary) in Russia
