Melanie E. Larson represents Bracewell & Giuliani LLP clients in a range of real estate financings, developments, dispositions and acquisitions, and provides legal counsel in the formation of property-based joint ventures and partnerships. Ms. Larson has substantial experience in the origination, securitization and participation in mortgage and mezzanine loans, as well as private equity real estate funds in private placements.
Ms. Larson represents developers of office, hotel, mixed-use and residential projects, retail properties and energy projects. She has advised commercial property owners in connection with acquisitions of multiple properties and the disposition of office and warehouse facilities.
Ms. Larson has significant experience representing landlords and tenants in a variety of lease negotiations, with a particular focus on office space.
Prior to joining Bracewell in 2005, Ms. Larson was an associate for three years in the New York office of Skadden, Arps, Slate, Meagher & Flom LLP.
Representative Matters
Represented a major financial institution in negotiating its development agreement and lease agreement for its new million square foot New York City headquarters.
Represented a major oil company in renegotiating its 600,000 square foot downtown New Orleans lease in the aftermath of Hurricane Katrina.
Assisted in negotiation of agreements regarding reconstruction of one of the World Trade Center buildings.
Represented a major oil company in negotiating construction management contracts for a new office building complex.
Represented a landlord in a 600,000 square foot office lease.
Represented a property developer in acquiring, leasing and developing one of the premiere Houston office campuses.
Represented several major New York City developers in various acquisitions and financings of retail, condominium and hotel developments in Manhattan and around the country.
Represented a property developer in acquiring, leasing, developing, financing and constructing a 13-building mixed-use condominium, retail and office development.
Worked in-house with a major hotel company's general counsel of real estate in connection with their $1.65 billion refinancing.
Prepared joint venture agreements, offering memoranda, partnership agreements and REIT documentation for two private equity real estate funds, one relating to investments in major sports teams and arenas and one relating to core-plus real estate assets.
Drafted and negotiated mortgage and mezzanine financing documents relating to some of the largest malls in the United States, several Manhattan office buildings and numerous hotels across the country.
Counseled client on real estate aspects of the merger of two of the nation's largest casino corporations.
