Bruce Cheatham has practiced securities law since 1972, primarily focusing on the representation of publicly held companies. He has extensive experience with securities regulation and compliance issues, mergers and acquisitions, corporate governance matters, and raising capital in public and private offerings. He is an active member of the ABA Section of Business Law Committees on Federal Regulation of Securities, Legal Opinions, and Negotiated Acquisitions, and an active participant on Task Forces that are revising the ABA Model Stock Purchase Agreement, drafting the ABA Model Agreement and Plan of Merger for publicly held companies, and implementing the new SEC Attorney Conduct Rules mandated by the Sarbanes-Oxley Act of 2002.  Bruce is a frequent speaker and panelist on corporate governance, mergers and acquisitions, and securities regulation topics, including corporate governance and other issues under the Sarbanes-Oxley Act.

Serve as corporate and securities counsel to a variety of public companies advising their Boards of Directors, Board Committees and managements on all corporate governance issues and Sarbanes-Oxley compliance matters

Represented an NYSE company in the creation, public offering and listing $500,000,000 of the first commodity-indexed bonds offered in the U.S.

Represented the sponsor in the formation, $250,0000,000 public offering and listing on the NYSE of one of the nation's largest diversified real estate investment trusts

Represented the real estate investment trust issuer in several secondary public offerings Represented an NYSE company in its acquisition of a $1 billion deep sea drilling services company

Represented an NYSE company in its sale of all it's non-U.S. businesses

Represented a private equity firm in its formation and related acquisition of the largest billing aggregator services company in the U.S.
