Robert Carey concentrates his practice on general securities law advice and the representation of bondholders in financial restructurings.  In particular, he specializes in the representation of underwriters and issuers in connection with debt and equity offerings, primarily with respect to high-yield debt offerings, including advice on all aspects of leveraged finance transactions.  In addition, Mr. Carey advises financial institutions and hedge funds with respect to indenture disputes, in particular with respect to issues concerning complex indenture analysis.

Representative Matters

Represented certain holders of Abitibi Consolidated bonds in the out-of-court refinancing and bond exchange transactions for one of the world's largest producers of newsprint, commercial printing papers and other forest products.

Represented Southern Star in connection with simultaneous tender and exchange offers, and subsequent refinancing with offerings of high yield notes.

Represented ad hoc committee of noteholders in connection with indenture analysis and subsequent exchange offer of Spectrum Brands' high yield notes.

Represented Bank of America Securities and CSFB as initial purchasers in connection with the Rule 144A/Regulation S offering of $160 million senior secured floating rate notes by Duane Reade, Inc.

Represented Goldman Sachs International and JPMorgan Securities Inc. as initial purchasers in connection with the Rule 144A/Regulation S offering of £130 million of high-yield notes by Concordia Bus Nordic AB.

Represented Ineos Vinyls Finance plc, a subsidiary of European Vinyls Corporation, as issuer in connection with its Rule 144A/Regulation S offering of £160 million of high-yield notes.
