Jonathan P. Gill represents private investment firms that seek control positions through debt and equity investments in public and private companies, principally in distressed and special situations. He provides clients with corporate, securities and bankruptcy law advice on all aspects of their transactions, from pre-commitment to execution and exit. His work in this area also relates to representation of creditor and debtor groups in in-court and out-of-court reorganizations, plan fundings, and rescue and debtor-in-possession financings. He regularly advises clients in domestic and foreign mergers and acquisitions.
Mr. Gill advises public and private clients on corporate securities matters, debt and equity tender offers, confidentiality concerns, rights offerings, and shareholder and inter-creditor agreements.
Mr. Gill has extensive experience in privatization of foreign state-owned enterprises, project finance, and securities law advice for foreign and domestic issuers. He leads clients in multinational and cross-border projects, IPOs, exchange offers and merger and acquisition transactions.
Before joining Bracewell & Giuliani, Mr. Gill practiced with the New York office of Linklaters. Mr. Gill began his career at Sullivan & Cromwell LLP.
