Heather L. Brown's practice focuses on complex financial transactions and a variety of other commercial transactions, with emphasis on the energy industry. She represents both lenders and borrowers in large, syndicated and bilateral, secured and unsecured, and traditional and structured financings, including acquisition and working capital facilities, bond financing credit enhancement, project financings, contract monetizations and forward sale transactions.
Ms. Brown also represents buyers and sellers of power, natural gas, liquefied natural gas, oil/petroleum products and other commodities in the negotiation and drafting of agreements for the purchase and sale of commodities and related assets, rights and interests, including transportation/transmission and storage arrangements.
Representative Matters
Represented the Administrative Agent in a $1B+ secured Term Loan B and Revolving Credit facility in connection with the acquisition on a public E&P company, as well as financing for the subsequent spin-off of the Borrower's OCS contracting business.
Represented a major international energy company in the negotiation and documentation of arrangements for capacity on an LNG terminal expansion project, including related pipeline take-away capacity.
Represented the administrative and collateral agent in a secured $150 million first and second lien syndicated revolving credit and term loan B facility for the acquisition of the assets of a division of a major international oil and gas service company.
Represented the administrative agents in a $200 million multi-borrower, multi-currency credit facility and a related $200 million bridge facility to the parent company.
Represented the administrative agent in a $140 million and $80 million multi-currency credit facility to a foreign borrower.
Represented the borrower in a $350 million exit facility and related financings of reimbursement obligations for multiple tax-exempt bond financings.
Represented the borrower, a merchant energy company, in securing $6.2 billion of previously unsecured new and restructured credit facilities with blanket liens on all available assets, including the subsequent imposition of a collateral trust structure in connection with further restructuring and additional indebtedness.
Represented a commodities trading company in arrangements for the purchase and optional resale, in-pipeline, of greater than 100,000 barrels per day of refined petroleum products, and related credit support arrangements.
Represented an international lender in multiple commodity repurchase transactions, including development of form documentation for such transactions.
Represented the seller in the restructuring of a power purchase agreement on a QF facility into a market-based rate power purchase agreement to be monetized, including all related supply arrangements.
Represented the seller of a portfolio of gas supply, transportation, and storage agreements, including inter and intra-state and Canadian arrangements.
Represented the seller of energy, capacity and ancillary services in the modification of power supply and related agreements to reflect the integration of the purchaser's control area into a regional transmission organization.
