G. Alan Rafte is the head of the firm's energy and finance practice.  He serves clients in transactions that involve merchant electric generation facilities, electric utilities, commodity trading, oil and gas exploration and production, and gas and liquid pipeline and processing facilities. He represents utilities, private equity investors, financial institutions and commodity trading businesses in transactions that include acquisitions and divestitures of assets and companies, joint venture arrangements, structured finance, leveraged finance, project development and project finance.

Recent engagements have included acquisitions of power generation facilities by private equity firms; sales of complex packages power generation facilities and trading positions; sales of commodity trading businesses and commodity trading positions; a joint venture for an LNG importer to facilitate the marketing of regasifed LNG; acquisitions of offshore oil and gas properties; structuring of second lien physical and financial power and gas sale arrangements to project companies; and the restructuring and monetization of a QF power sales contract.

Representative Matters
Acquisitions, Divestitures and Alliances
Represented a utility in a partnership arrangement for the combination of the power and gas trading and marketing units of the partners and a large interstate pipeline system.

Represented the acquiror of a partnership interest in a partnership that owned a number of power generating facilities.

Represented the acquiror in the acquisition of a coal-fired generation facility and a partnership interest in another power generation facility.

Represented a power developer in the contribution and partnership arrangements for the joint development of three power generation facilities.

Represented the acquiror in the acquisition of the senior debt of and a limited partnership interest in a cogeneration project.

Represented various bidders in acquisitions of 21 power generation facilities in 10 auction proceedings.

Represented the acquiror of a company engaged in the ownership and operation of a gas gathering system.

Represented the seller in the divestiture of an oil pipeline system.

Represented one of two sellers of domestic oil and gas assets for a total price in excess of $1 billion, including credit enhancement arrangements for the buyer's financing.

Represented a foreign oil company in a partnership for the exploration and development of several Gulf of Mexico blocks.

Represented more than 20 different companies in the acquisition or divestiture of oil and gas properties and facilities in more than 70 transactions having an aggregate value in excess of $5 billion.

Project Development and Project Finance
Represented the developer in the development and financing of a merchant power generation facility. The project received the Deal of the Year award from Project Finance magazine for its innovative financing.

Represented the developer in the financing of two merchant power generation facilities.

Represented the developer in the development and financing of an offshore gas gathering system.

Represented the developer in the acquisition, development and financing of a coal bed methane project.

Represented the developer in the development of a landfill gas project.

Structured Finance
In three separate transactions, represented two different sponsors in the restructuring of power purchase agreements on QF facilities and the monetization of the resulting cash flow stream in a private placement, a bank financing and a 144A placement.

Represented a bank group in the monetization of a cash flow stream from a power purchase agreement.

Represented the developer in a leveraged lease arrangement designed to encompass multiple power generation facilities in three states.

In six separate transactions, represented several financial institutions in the monetization of the cash flow streams under 25 contracts for gas sales to power generation facilities.

In three separate transactions, represented the financial institution creating a minority interest partnership arrangement for three separate oil companies involving producing oil and gas assets.

Represented a commercial paper conduit in the financing of a forward sale arrangement on oil and gas.

Represented a financing source in providing financing for a volumetric production payment.

Represented an exploration company in selling a volumetric production payment on oil production.

Represented a financing source in a transaction involving a volumetric production payment and mezzanine debt.

Represented two financial institutions in two separate transactions providing financing for cushion gas in a gas storage project.

Represented a financial institution in acquiring Section 29 tax credit benefits.

Represented the gas producer in the sale of Section 29 tax credit benefits.

Miscellaneous Transactions
Assisted various clients with commodity, interest rate and currency hedging arrangements and other derivative instruments; credit support arrangements for transactions under ISDA, GISB and EEI agreements; pipeline, platform and facility construction arrangements; platform and equipment sharing arrangements; and turnkey and other drilling agreements.

Assisted clients with oil and gas borrowing base loans; gas, liquids and crude oil purchase and sale arrangements; farmout and participation agreements; general and limited partnerships for exploration and development; seismic shoot arrangements, data acquisitions and seismic licenses; gas and liquids transportation arrangements; gas processing arrangements; and utility and other arrangements for processing and other facilities.

Represented clients with regard to executive compensation arrangements; surface and subsurface easements; calls on hydrocarbon production; equipment leases; and oil and gas leases.
