With more than 30 years experience, Thomas D. Manford III maintains a general corporate practice with emphasis on acquisitions, mergers, management and leveraged buy-out transactions, debt and equity financings, industry consolidations, private placements of securities, and venture capital transactions. He routinely negotiates and prepares various forms of commercial agreements, including general and limited partnership agreements and limited liability company agreements.

Mr. Manford counsels start-up and early-stage companies on their organization, structure and financing. Specifically, Mr. Manford negotiates and prepares corporate charters, anti-dilution protection mechanisms, registration rights agreements, voting and buy/sell agreements, investment agreements, employment agreements and confidentiality, intellectual property transfer and licensing agreements.

Mr. Manford's clients come to him from diverse industries, including petrochemicals, radio broadcasting, jewelry manufacturing, personnel services, propane distribution, telecommunications, cellular phone services, paging services, staffing firms, animal feed production, fertilizer manufacturing, natural gas compression, oil and gas production, crude oil refining, linen supply services, leisure products manufacturing, and construction and operation of retirement homes.

Before joining Bracewell & Giuliani LLP, Mr. Manford was an attorney advisor for two members of the Federal Power Commission, now the Federal Energy Regulatory Commission (FERC). From 1975 to 1983, Mr. Manford practiced in the firm's Washington, D.C. office, where he was engaged in an energy practice before the Department of Energy (DOE) and predecessor agencies regulating the pricing and allocation of crude oil, natural gas liquids and refined petroleum products.
