Tom Bingman's practice includes representing clients in the areas of nuclear project development, energy trading, real estate finance, commercial lending, structured finance, commercial real estate transactions and in a variety of complex commercial transactions.
Mr. Bingman's diverse commercial transactions and restructurings background includes the representation of lenders in all aspects of Commercial Mortgage Backed Securities loan originations; the handling of bankruptcy and insolvency matters for clients (including health care maintenance organizations and Chapter 7 trustees); the preparation of substantive non-consolidation legal opinion letters in connection with complex real estate transactions; the representation of clients in a variety secured transactions; and the representation of high profile clients in a variety of general insolvency, corporate and transactional matters.
Representative Matters
Represented the lender in a multi-borrower $20 million syndicated credit facility secured by a petroleum bulk fuel terminal and biodiesel plant and a pledge of various personal property collateral and equity interests.
Represented many of the largest Commercial Mortgage Backed Securities lenders in loan originations totaling approximately $300,000,000.00.
Represented a group of borrowers in connection with their acquisition of 5 improved properties with a purchase price in excess of $75 million as part of a "reverse" 1031 exchange.
Represented an exchange syndicator in connection with the acquisition, by multiple entities as tenants-in-common, of: a 480 unit apartment complex (purchase price in excess of $33 million); twelve, two-story apartment buildings (aggregate 192 units) (purchase price in excess of $14 million); a 380 unit apartment project (purchase price in excess of $23 million); a 250 unit apartment complex; and a 200 unit apartment complex (purchase price in excess of $13 million).
Represented a major commercial lending institution in all aspects of its acquisition of a property in North Hollywood, California.
Represented a premiere health club facility in connection with a $60,000,000 loan and its acquisition of a heath club facility.
