Please join us for our Private Equity Breakfast on April 10th.  We have planned a special program with a panel discussion focusing on recent developments and factors affecting how private equity transactions are structured in today's M&A environment.  The panel will address a variety of issues and share with the audience their recent deal experiences, including how private equity transactions are being structured in the context of (i) current tax, accounting, legal, and valuation developments and (ii) the debt and equity markets. Panel members will include Alan Blackburn of GulfStar Group, Deborah Byers of Ernst & Young LLP, Steve Tredennick of Bracewell & Giuliani LLP and Keith Winzenried of J.P. Morgan Securities Inc.  

Panelists will address a variety of topics including:
 

  • Tax and accounting aspects of recent deal structure and the structuring trends in the marketplace, the importance of economic substance given new IRS guidelines, and the impact of new Texas tax legislation.
  • How debt and equity markets are impacting deal structures with emphasis on leveraged loan and investment grade loan market updates, current pricing and volume in the market, capital structure trends and trends among investors.
  • Valuation and price issues associated with meeting client pricing objectives and bridging the gap between the expectations of the buyer and the seller.
  • Legal considerations in structuring entities, including IRR and ROI structures and alternative-entity holding companies, recent Delaware rulings on stapled financings and buyouts and the EGL Case.   

Alan J. Blackburn, Managing Director
GulfStar Group

Mr. Blackburn has over 20 years of experience in investment banking. Prior to joining GulfStar, he was most recently a Managing Director at Growth Capital Partners, a middle-market investment bank, where he was responsible for the firm’s oilfield services practice, as well as its private equity sponsors group. Prior to joining GCP, Mr. Blackburn spent 16 years in Merrill Lynch’s investment banking group in Houston, focusing primarily on the energy, construction materials and death care industries.
 
Deborah Byers, Transactions Advisory Services-International Tax Partner
Ernst & Young LLP

Ms. Byers, a transactions tax partner in Houston, has over 20 years of experience and in-depth expertise on structuring and financing corporate expansions and joint ventures, serving both US and non-US based multinationals. Ms. Byers has significant industry expertise in the energy, utilities, and oilfield services industries and her extensive knowledge about doing business around the world.   
 
Steve Tredennick, Partner, Corporate & Securities

Bracewell & Giuliani LLP
Mr. Tredennick's practice has an emphasis on public and private mergers and acquisitions, divestitures, going-private transactions, co-investments, joint ventures and general corporate matters, including corporate governance and takeover defense.  He also advises special committees and controlling stockholders in public companies.  Mr. Tredennick primarily focuses on the representation of private equity firms and other strategic investment funds in connection with strategic business transactions.
 
Keith Winzenried, Executive Director of Syndicated & Leveraged Finance
J.P. Morgan Securities Inc.

Mr. Winzenried is a debt markets specialist with over 20 years experience at JPMorgan and its predecessor companies covering a broad range of industries, markets and transactions.  As part of JPMorgan’s leveraged finance business, Mr. Winzenried originates debt financings for public and private companies seeking debt capital for recapitalizations, acquisitions, growth and refinancing.
